The process that we go through to purchase your business is outlined below. The process below is a typical process but not every purchase will follow this exactly. Sometimes there can be less steps and sometime there can be more steps involved.

Exploratory conversation
During the exploratory conversation we get to know each other and we get to learn more about each other’s businesses. Our exploratory conversation is done on the telephone. The conversation is a no pressure, no obligation conversation where you may decide that selling your business may or may not be what you want. We may also decide that your business is or is not what we are looking for. If we are not interested, we will provide suggestions of a better route for you.
If we both agree to proceed to the next stage, we will sign a non-disclosure agreement.
Pre-Commitment Due Diligence Chat
Prior to this telephone meeting you will provide us with the last three years full financial unabbreviated accounts for the company.
During the Pre-Commitment Due Diligence Chat, we will discuss the companies historic and current performance and we will look at the company’s financials and get to know more about how the company is being run and how it is positioned in the market.
We will be keen to get to understand your business model, your staff and management, the market, your product, your customers, the competition, suppliers etc.
Our basic requirement is that your business should be profitable with good second tier management.
Meet in person
During this meeting a more detailed understanding of your business will be sought and we will want to learn more about your key staff and their current and future roles in the business.
We will then provide a written proposal that will outline the structure of the deal. We then proceed by signing a Heads of Terms agreement.
We will then proceed with detailed due diligence where we will review all areas of the business both operationally and financially. This thorough process allows us to get a detailed understanding of your business which will allow us to build on what has been achieved following completion of the purchase of the business.
Completion
The legal sale and purchase agreement and arrangement is agreed upon and completed.
Post Completion
Following completion, we will them introduce ourselves to the people in your business. During this time, we are sensitive to the uncertainty that can be created when there is a change of ownership. We will share our intentions with the staff about how we intend to run the company and their role in it.
We will also spend more time in the business getting a more granular understanding of the operations of the business. We will them create a plan for how we will run the business to allow it to build on existing successes so far.
Depending on the arrangement we have agreed with you it is during this time that your role will be phased out of the business and you can move on to the next exciting phase of your life.
